Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your access to and use of the GrainTech platform, a cloud-based ERP software-as-a-service ("Service") provided by GRAINTECH SYSTEMS PRIVATE LIMITED, a company incorporated under the Companies Act, 2013, having its registered office at B/G-04, Highway Platinum, KM Residency, Krishna Nagar, Mathura, Uttar Pradesh - 281004 (CIN: U62010UP2025PTC236797) ("Company", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Definitions

"User" means any individual or entity that accesses or uses the Service. "Organization" means the business entity that subscribes to the Service. "Data" means all information, content, and materials uploaded, submitted, or stored by the User through the Service. "Subscription" means the plan chosen by the Organization for access to the Service.

3. Account Registration

To use the Service, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Use of the Service

The Service is provided for lawful business purposes related to grain milling, procurement, production, inventory management, sales, dispatch, and related operations. You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to gain unauthorized access to any part of the Service; (c) interfere with or disrupt the Service; (d) reverse-engineer, decompile, or disassemble the Service; (e) sublicense, resell, or redistribute the Service without our prior written consent.

5. Subscription & Payments

Access to the Service is provided on a subscription basis. Pricing, billing cycles, and payment terms are as described on our pricing page or in a separate agreement. All fees are non-refundable except as expressly stated. We reserve the right to modify pricing with 30 days' prior notice. Non-payment may result in suspension or termination of access.

6. Data Ownership & Privacy

You retain all ownership rights to your Data. We do not claim ownership of any Data you upload or store through the Service. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We may use anonymized, aggregated data for analytics, product improvement, and industry benchmarks, provided such data does not identify any individual User or Organization.

7. Intellectual Property

The Service, including all software, designs, trademarks, logos, and content (excluding your Data), is the exclusive property of the Company and is protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use the Service as permitted herein.

8. Service Availability & Support

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with reasonable advance notice. Support is provided as per the terms of your Subscription plan.

9. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to the use of the Service. Our total liability for any claim shall not exceed the amount paid by you in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless the Company, its directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising out of your use of the Service or violation of these Terms.

11. Termination

Either party may terminate the Subscription in accordance with the terms of the chosen plan. Upon termination, your right to access the Service ceases. We will retain your Data for a period of 30 days after termination, during which you may request an export. After this period, your Data may be permanently deleted.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts at Mathura, Uttar Pradesh. The parties agree to first attempt to resolve disputes through good-faith negotiation before pursuing litigation.

13. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a notice on the Service at least 15 days before they take effect. Continued use of the Service after modifications constitutes acceptance of the updated Terms.
